‘Financial Wellbeing’ Licence

Introduction

  1. The University of South Australia Student Association Inc (ABN 42 435 026 686) (USASA/ We or Us) has developed and is the owner of the Intellectual Property Rights

    subsisting in the Works described as “Financial Wellbeing: A Students Guide to Financial Wisdom”.

  2. This Licence is a contract between you, the Licensee of the Works, and USASA. We grant to you the Licensed Rights in consideration of your acceptance of the Terms and Conditions contained in this Licence.

  3. Acceptance of this Licence may be by email and you may also accept them by your conduct, including upon receipt of these terms proceeding to use the Works. Your failure to acknowledge these terms is not evidence that they do not apply

Summary of Licensed Rights

The following is a summary of your rights and responsibilities when using the Works. This section does not form a binding part of the Licence, and to the extent that it is deemed to, then the ‘Terms and Conditions’ shall take precedence to the extent of any inconsistency.

You are granted a Licence to use on the following basis:

  • Revocable: we can cancel your right to use the Works if we choose to.

  • No Royalty & Fee: you do not need to pay us a fee for the use of the Works.

  • Non-assignable: you cannot assign this licence to any other person without our permission.

  • Adapt & Share: you may remix, transform and build upon the Works and then copy, share and redistribute the Works or your adaptation of them. You may also use the Works but under your own branding and trade marks.

  • Commercial use: you may use the Works as part of a commercial enterprise, organisation or business but you may not sell the Works. Access to the Works or any adaptation you make may be limited to customers, clients or students who pay for your services, however no direct fee may be attributable to the Works or an adaptation thereof.

  • World-wide: this licence entitles you to use the Works worldwide. However, the Works are created for an Australian resident audience.

  • Attribution: You must give appropriate credit to USASA when using the works by placing either of the following (as applicable) in a place which is sufficiently obvious to any reader:

Terms & Conditions

1. USASA grants to you a revocable (on 5 days notice, including by email or MMS), perpetual (which means it never runs out during the lifetime of the copyright unless revoked), world-wide, royalty-free, non-assignable and adaptable & shareable (meaning you may remix, transform and build upon the Works and then copy, share and redistribute the Works or your adaptation of them including under your own branding and trade marks) to use the Works for any lawful purpose except that you may not sell the Works for a direct fee. 

2. We grant you this License on a no fee basis.  

3. In exchange for this License you agree:

a. to ensure that all copies of the Works printed, published, made, reproduced or otherwise communicated to the public (including electronic material) make it clear that it is protected by copyright), by including either of the following notices on the Works and any adaptation thereof:

c. to grant to USASA an irrevocable, royalty-free, perpetual, world-wide, adaptable & shareable, assignable, and sub-licensable licence to use any adaptation or modification you make to the Works, including any Intellectual Property Rights subsisting therein, for any lawful purpose.

d. the Works are provided you on an ‘as-is' basis. To the fullest extent permitted by law, USASA makes no representations or warranties concerning the accuracy, fitness-for-purpose, merchantability and non-infringement of Intellectual Property rights of the Works.

e. to indemnify and hold harmless USASA, its officers, employees and related entities from and against all law suits, claims, losses, damages or liability arising from your use of the Works and any breach of this Licence. Furthermore, to the extent permitted by law, you unconditionally release USASA from any liability, claims, demands or damages of any kind arising from or in connection with your use and access to the Works.

4. You are under no obligation to use all or some of the Works.

5. You may not assign all or any of your rights under this Licence. USASA may without your consent assign all or any of its rights given to it under this Licence and the Works.

6. This agreement is subject to the laws of the State of South Australia. The courts of the State of South Australia have non-exclusive jurisdiction over any disputes arising in respect of this Agreement.

7. Nothing contained in this Licence may be deemed to constitute a partnership between you and USASA. Neither party may engage in any conduct or make any representation which may suggest to any person they are the agent of the other party or endorsed by the other party.

8. At all times (including after this License), both parties must not make improper use or disclosure of confidential information about the other obtained during or in association with this Licence so far as not then in the public domain.

9. This Licence governs anything done in anticipation of acceptance.

10. Either party may terminate this Licence by 5 days written notice to the other party, but such terms of this Licence which by their nature are intended to survive the termination will survive termination.

11. Definitions:

a. Intellectual Property Rights: means copyright and all other intellectual and industrial rights anywhere in the world (including, trade marks, patents, designs, trade secrets and the right to keep confidential information confidential).

b. Licence: means this agreement, including the Introduction and Terms & Conditions, to licence the Works to the Licensee.

c. Licensee/You: means you, the person and/or entity who USASA is making available the Works to.

d. Works: means the materials, works, documents and creations identified in Clause A of the Introduction, including the Intellectual Property Rights subsisting therein, to be licenced from USASA to the Licensee including any versions, adaptations or modifications which USASA may choose to make available to the Licensee.

12. Interpretation: In this Licence: singular includes plural and vice versa; reference to a person includes a body politic or corporate, an individual and a partnership and vice versa; headings do not affect construction; no rule of construction applies to the disadvantage of a party because that party put forward this Licence or any portion of it; the ‘Introduction’ forms a binding part of this Licence.

The University of South Australia Student Association Inc. (USASA) acknowledges the Kaurna, Boandik and Barngarla First Nations People as the traditional custodians of the unceded lands now home to the University of South Australia’s campuses in Adelaide, Mount Gambier and Whyalla. We respectfully acknowledge their Ancestors and Elders, past, present and emerging. We also acknowledge the Traditional Custodians and their Ancestors of the lands and waters across Australia.
